Seller Terms
Terms for professional sellers using Various Archives and the Various Archives Connector Shopify Sales Channel app.
Scope
These Seller Terms govern the relationship between Various Archives, LLC and professional sellers whose products are displayed on Various Archives.
By applying as a seller, being accepted, installing Various Archives Connector, or continuing to use the platform as a seller, you agree to these Seller Terms.
Platform Model and Merchant of Record
Various Archives is a curated discovery platform and Shopify Sales Channel. Listings displayed on Various Archives direct buyers to your Shopify store and Shopify checkout.
You are the merchant of record for orders placed on your store. You are responsible for checkout, payment processing, invoicing, shipping, returns, refunds, taxes, duties, consumer protection compliance, and after-sales support.
Various Archives does not hold inventory, process buyer payments, or become a party to the sales contract between you and the buyer.
Professional Seller Requirement
You confirm that you operate as a professional seller, have authority to bind the business you represent, and comply with applicable law.
Various Archives does not onboard private individuals selling occasionally. Misrepresentation of professional status is grounds for removal.
Onboarding and Verification
Seller onboarding is curated and reviewed manually. We may request business registration information, store documentation, photographs of premises, trade references, identity verification for authorised representatives, or other materials reasonably needed to confirm eligibility.
Acceptance is at our discretion and is based on curation fit, professionalism, seller reputation, and operational readiness.
Listings and Seller Content
Listings are sourced from your Shopify catalog through Various Archives Connector. They may include prices, currencies, availability, photos, descriptions, condition details, product metadata, and links to your product pages.
You are responsible for ensuring that Seller Content is accurate, complete, current, lawful, and not misleading.
- Prices, discounts, availability, and condition must be accurate.
- Photos, descriptions, trademarks, and other materials must not infringe third-party rights.
- Your own product page remains the source of truth for the buyer.
Licence to Display Seller Content
You grant Various Archives a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format, make available, and promote Seller Content for the purpose of operating and promoting the platform and your listings.
This includes technical changes such as resizing, compression, cropping for layout, and file conversion, without changing the meaning of the content.
You retain ownership of your trademarks, logos, photos, and creative materials, and you represent that you have the rights needed to grant this licence.
Authenticity, Legality, and Compliance
You are solely responsible for authenticating the items you offer and ensuring that they are lawful to sell and ship in the markets you serve.
- Do not list counterfeit goods or items of doubtful authenticity.
- Do not list stolen, looted, illegally sourced, sanctioned, or restricted goods.
- Do not list items that infringe third-party intellectual property rights.
- Maintain clear shipping, return, refund, and support policies on your own store.
Ranking, Visibility, and Curation
Listings are organised through user-controlled filters, sorting, search, and editorial curation. Editorial selections are discretionary and are not paid placement.
We do not offer paid placement, sponsored ranking, or paid prominence. Sellers cannot pay to influence ranking, search results, filters, sorting, trending, or editorial inclusion.
Data Access
The platform currently does not provide sellers with a dedicated analytics dashboard. We may provide limited aggregated metrics in the future and will update these Seller Terms if that changes.
Each party remains responsible for its own data protection compliance. Buyers complete checkout on your Shopify store, under your privacy notice and terms. Various Archives processes app data as described in the Privacy Policy.
Commission and Billing
Various Archives does not charge fixed listing fees, onboarding fees, or a monthly base fee unless a separate written agreement or Shopify Billing screen says otherwise.
You agree to pay Various Archives a commission equal to 10 percent of the commission base for each attributed sale. The commission base is the net item sale amount attributed to Various Archives, excluding shipping, taxes, duties, and amounts refunded or cancelled.
Commission is billed through Shopify Billing using usage-based charges. The charge appears in your Shopify billing relationship, and approving the app subscription authorises Various Archives to create usage charges for attributed sales up to the approved cap.
Attribution Method
An attributed sale is a sale completed through your Shopify store that is attributed to Various Archives by the Sales Channel integration.
Attribution may use Shopify's native Sales Channel order attribution through the storefront access token, and a signed Various Archives attribution token called va_ref that is attached to the cart or order when a buyer clicks through from Various Archives.
The public Sales Channel app does not use customer lifetime attribution. It does not tag customers or rely on customer name, email, phone, or address for attribution.
Cancellations and Refunds
Commission is not due on orders that are cancelled or fully refunded. For partial refunds, commission is recalculated proportionally on the net amount retained.
Where a commission has already been charged, Various Archives issues the corresponding adjustment as an app credit through Shopify Billing where technically available.
Various Archives Connector
To list on the platform, you must install Various Archives Connector on your Shopify store, approve the required Shopify scopes, approve the billing terms, and complete onboarding.
The app syncs eligible products, publishes product visibility to the Various Archives Sales Channel, communicates product issues through Shopify resource feedback where applicable, and lets you disconnect without contacting support.
Disconnection and Termination by Seller
You may disconnect Various Archives Connector at any time from your Shopify admin or from the app Settings page. Disconnection stops the technical sync between your Shopify store and Various Archives and is treated as termination of the seller relationship, subject to any commissions already due.
We aim to remove your listings within five business days after disconnection or written removal request.
Restriction, Suspension, and Termination by Various Archives
We may warn, restrict listing visibility, suspend, or terminate a seller when we reasonably believe there is a legal, trust, quality, authenticity, payment, operational, or platform integrity issue.
- Counterfeit, unlawful, stolen, or infringing goods.
- Misrepresentation of provenance, condition, pricing, availability, or professional status.
- Three or more verified buyer complaints within a six-month period.
- Failure to provide requested verification information.
- Attempts to circumvent the platform or avoid commission on referred transactions.
- Repeated unprofessional conduct or sustained unresponsiveness.
- Conduct that may harm buyers, sellers, Shopify merchants, or the integrity of the platform.
Notice and Appeal
Warnings are typically issued first with an opportunity to address the issue. Direct suspension or termination may apply in serious cases such as counterfeit goods, fraud, imminent legal risk, or safety concerns.
Except where immediate action is justified, we provide at least 30 days' notice before terminating these Seller Terms. The notice includes a statement of reasons where required by applicable law.
You may appeal a suspension or termination by emailing contact@various-archives.com within 14 days of the decision.
Complaints and Dispute Resolution
For complaints about the platform, your access, billing, or a decision affecting your seller activity, contact contact@various-archives.com. We aim to respond within five business days.
Various Archives is a small enterprise within the meaning of the Annex to Commission Recommendation 2003/361/EC and may benefit from exemptions under Regulation (EU) 2019/1150. We nevertheless address seller complaints in good faith and are willing to engage in mediation where appropriate.
Confidentiality
Each party may receive non-public commercial, technical, or operational information about the other. Each party agrees to keep such information confidential, use it only as needed to perform under these Seller Terms, and not disclose it except where required by law or authorised by the other party.
Liability and Indemnity
You are responsible for your products, listings, transactions, and buyer relationships. You agree to indemnify Various Archives against claims arising from counterfeit, unlawful, infringing, inaccurate, misleading, or non-compliant seller activity.
To the maximum extent permitted by law, Various Archives is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for claims related to these Seller Terms will not exceed the greater of USD 1,000 or the commission paid by you to Various Archives in the 12 months before the event giving rise to the claim.
Changes
We may update these Seller Terms to reflect changes in practices, technical capabilities, Shopify requirements, or legal requirements. We will notify you of material changes at least 15 days before they take effect where required.
If you do not agree with updated Seller Terms, you may disconnect the app and request removal before the change takes effect.
Governing Law
These Seller Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Nothing in these Seller Terms deprives sellers of mandatory protections that apply under Regulation (EU) 2019/1150 or other applicable law.
